1. Service description and provider
GooUX (the “Service”) is a SaaS platform operated by Altea Software S.r.l. (the “Provider”) — registered office Via Werner von Siemens 29, 39100 Bolzano (BZ), Italy; VAT and tax code IT01587030212; registered with the Bolzano Company Register, REA BZ-130680; share capital €10,000 fully paid-up — for the analysis of websites: SEO quality, accessibility, security headers, sitemap monitoring, content generation, structured data and other related tools. The Service is provided through a web interface, scheduled scans and email reports.
2. Acceptance of these Terms
By creating an account and accepting these Terms at profile completion, you confirm that you are at least 18 years old, that you have authority to bind your organization (if registering on behalf of one), and that you agree to be bound by this agreement.
3. Account and security
- You are responsible for keeping your credentials confidential.
- You must provide accurate billing information. Fake or misleading profile data (company name, VAT, fiscal code, address, country) is grounds for the Provider to suspend or refuse activation.
- The Provider may return your profile to you for correction with a motivated reason. You agree to update it promptly.
4. Subscription, pricing and payment
- The Service offers a 30-day free trial (no payment required).
- Paid plans are prepaid for 1, 6 or 12 months. There is no auto-renewal: at the end of the period the account reverts to the trial-expired state until a new prepaid period is purchased.
- Pricing, credits and add-ons are configured in the pricing calculator and finalized through a quote request reviewed by the Provider.
- VAT regime is determined by the country in your billing profile: Italy (22% IVA), EU with valid VAT number (reverse charge), extra-EU (out of VAT scope per art. 7-ter DPR 633/72). It is your responsibility to keep this field accurate.
- Credits (AI Credit, Operation Credits) deposited on your account are usable within the prepaid period. Unused credits do not roll over after the period ends unless explicitly agreed in writing.
5. Acceptable use
You agree NOT to:
- Scan or monitor third-party websites for which you do not have written authorization. The Service offers a domain-verification challenge (file upload) precisely to allow aggressive features (short crawler delay, server security scanner). Unverified domains are throttled by design.
- Use the Service to launch denial-of-service attacks, spam, mass enumeration, credential stuffing or any other abusive activity.
- Resell, repackage or sublicense the Service or its outputs without a written agreement.
- Reverse-engineer, scrape or otherwise extract bulk data from the Service beyond what your plan explicitly grants.
The Provider may suspend or terminate accounts that breach this section, with or without refund depending on the severity of the violation.
6. Availability and limitation of liability
The Service is provided “as is” on a best-effort basis. No SLA is guaranteed unless agreed in writing as part of a custom enterprise contract.
To the maximum extent permitted by applicable law, the Provider's aggregate liability for any claim arising from the Service is limited to the amount you paid in the twelve months preceding the event giving rise to the claim. The Provider is not liable for indirect, incidental, consequential or punitive damages.
7. Intellectual property
The Service, its source code, design, brand and documentation are owned by the Provider. Reports and analyses produced for your domains are yours to use commercially. AI-generated content (ALT text, Open Graph, Schema.org, marketing copy) is delivered without warranty of originality; you remain responsible for any further review.
8. Termination
- You may close your account at any time by contacting the admin.
- The Provider may close inactive trial accounts after 90 days.
- The Provider may suspend or close accounts that breach these Terms, with notice when feasible.
- Upon termination, billing records are kept for the legally required retention period. Scan data is deleted within 30 days of account closure unless you request earlier deletion.
9. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email and tracked by version. Continued use of the Service after a new version is published implies acceptance of the new version. The version you accepted is recorded in your profile.
10. Governing law and jurisdiction
These Terms are governed by the laws of the Italian Republic. Any dispute is subject to the exclusive jurisdiction of the Court of Bolzano, Italy.
